WIN NT 4.0 NO GO & YES I HAVE ENCRYPTED PASSWORDS

I just tried that, restarted samba on both boxes and still nothing.

Try adding "wins server = <ip of old box>" to your new PDC.  Also, try 
setting domain master and prefered master on old PDC to auto.
